The Foundation.
AllGaia Foundation (AllGaia SA) is a sihtasutus — a public-benefit foundation under Estonian law. Registered in Estonia. Operating globally. Co-founded by Kristjan Kann and Triinu-Liis Rahe.
Articles 3.3–3.8The 14-year review cycle.
The Foundation reviews its own existence every 14 years. The first review concludes 31 December 2040. The cycle can be shortened by a 67% Factum DAO supermajority and ratified by the Supervisory Board. It can never be extended beyond 14 years. No amendment can remove or weaken these articles.
Two conditions, both required: (a) the science cited as the evidence basis in binding regulation in at least 3 OECD states, and (b) at least 3 independent civic movements operating Factum-compliant governance for 24+ months without a critical incident.
The constitutional Foundation share.
Five percent of every AllGaia revenue is allocated to the Foundation under the statutes. In the current phase, the allocation is enforced by Foundation accounting and recorded through the Factum Protocol ledger. On-chain enforcement through the Factum Protocol is a later phase.
Article 8The firewall — organisations only.
Funds flow to organisations, never to individuals. No per-member compensation. No referral payouts. This is the legal cover that keeps the model lawful across jurisdictions, including the EU UCPD and US FTC Koscot doctrine.
Article 22Dissolution proceedings.
If the 14-year review concludes the dissolution conditions are met, proceedings begin under Article 22. Assets are distributed to aligned public-benefit organisations under Estonian law. The Foundation's continued operation is never the default.
